How much does it cost to incorporate in BC?

Sole proprietorship vs incorporation — which is right for me?

A sole proprietorship is simple to start but offers no liability protection or tax planning. Incorporation protects your personal assets and adds tax-planning options but also filing obligations. We’ll weigh it against your income, risk and growth plans and give you a straight recommendation.

Should I incorporate provincially in BC or federally?

BC incorporation suits companies focused on the province; federal incorporation gives stronger national name protection if you’ll operate across provinces. Both have annual filings. It depends on where you’ll operate and your name-protection needs — we’ll explain the trade-offs and handle whichever fits.

Do I really need a shareholders’ agreement?

If your company has more than one owner, yes — it prevents the disputes that sink businesses. Without one, the Business Corporations Act defaults apply, and they rarely match what owners actually intend. We’ll draft one matched to your ownership and decision-making, covering decisions, exits, death, share valuation and dispute resolution.

What’s involved in buying or selling a business?

Most deals move from a letter of intent through due diligence to a purchase agreement and closing. Whether it’s structured as an asset deal or a share deal has major tax and liability consequences, so we coordinate with your accountant to get the structure right before anything is signed.

Can you work with my accountant on tax planning?

What is a minute book and do I have to keep one?

Every BC company must maintain a minute book — its articles, central securities register, director and shareholder registers, share certificates and resolutions. It’s routinely requested when you finance, sell or face an audit. We set it up correctly at incorporation and can maintain it for you.

Do I need a lawyer to incorporate, or can I do it online?

You can file yourself, but the share structure, articles and records book are where costly mistakes happen — especially if you later take on partners or investors. A lawyer sets it up right the first time.
